These Terms of Service (“Terms”) govern your access to and use of the website ShopTidalSearch.com (the “Site”) and the purchase of products from Tidal Search LLC (“Company,” “we,” “us,” or “our”). By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms, our Privacy Policy, and any additional policies referenced herein.

1. Research Use Only (RUO) – Core Restriction

All products sold by the Company are supplied strictly for laboratory and in-vitro research and development use only (Research Use Only / RUO).

They are NOT:

  • For human or animal consumption, injection, topical application, inhalation, or any form of administration.
  • Intended for diagnostic, therapeutic, clinical, medical, veterinary, cosmetic, food, dietary supplement, or household use.
  • Drugs, medical devices, or compounded medications under Sections 503A or 503B of the Federal Food, Drug, and Cosmetic Act.
  • Evaluated, approved, cleared, or endorsed by the U.S. Food and Drug Administration (FDA) or any other regulatory authority for safety, efficacy, or any clinical purpose.

The statements on this Site and product labels have not been evaluated by the FDA and are not intended to diagnose, treat, cure, or prevent any disease.

By purchasing, you represent and warrant that:

  • You will use the products solely for lawful in-vitro laboratory research by qualified personnel in controlled settings.

2. Eligibility

You must be at least 21 years of age and a qualified researcher (or an authorized representative of a legitimate research institution, laboratory, university, or company) to access the Site or purchase products.

By proceeding, you represent and warrant that:

  • You meet the age and qualification requirements.
  • The products are legal to acquire, possess, and use for research in your jurisdiction.
  • You will comply with all applicable local, state, federal, and international laws, institutional biosafety rules, and laboratory safety standards.

We reserve the right to request verification of identity, credentials, or institutional affiliation (including IP address checks) and to cancel any order we believe in good faith is intended for non-research use.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4. Products, Pricing, and Availability

  • Products are described on the Site with available Certificates of Analysis (COA) where provided. Specifications are based on testing of the lot; individual results may vary.
  • Prices are listed in USD (or other stated currency) and may change without notice.
  • We reserve the right to limit quantities, refuse or cancel orders, and discontinue products at our sole discretion.
  • Inventory is limited; if a product becomes unavailable after order placement, we will contact you regarding a substitute or refund.

5. Orders, Payment, and Shipping

  • Orders are subject to acceptance. We may cancel orders for any reason, including suspected non-compliance with these Terms.
  • Payment is processed through third-party providers. You authorize the charge for the full amount including shipping and applicable taxes.
  • Shipping is typically limited to permitted destinations (e.g., continental United States or as stated on the Site). We may refuse high-risk addresses.
  • Title and risk of loss pass to you upon delivery to the carrier. Report lost or damaged shipments within the timeframe stated on our shipping policy page.
  • You are responsible for any customs duties, taxes, or import restrictions in your jurisdiction.

6. Returns and Refunds

Due to the nature of research chemicals and contamination risks, all sales are generally final.

Limited exceptions (e.g., shipping damage, mis-shipment, or confirmed out-of-specification product) may be considered if reported within the stated window and subject to our Return Merchandise Authorization (RMA) process. Opened or used products are not returnable. Contact us promptly for evaluation.

7. Prohibited Conduct

You agree not to:

  • Use products for any purpose other than lawful RUO laboratory research.
  • Request, discuss, or receive dosing, administration, reconstitution for human use, or therapeutic protocols from the Company.
  • Relabel, repackage, alter, resell, or redistribute products without prior written consent.
  • Provide false information or attempt to circumvent age/qualification checks.
  • Use the Site for any unlawful purpose or in a manner that could damage the Company or its systems.

Violations may result in immediate account termination without refund and potential reporting to regulatory authorities (including FDA or other agencies).

8. Intellectual Property

All content on the Site (text, images, logos, product descriptions, etc.) is owned by the Company or its licensors and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without written permission.

9. Disclaimer of Warranties

Products are provided “AS IS” and “AS AVAILABLE.”

Except as expressly stated in a COA for the specific lot, the Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing.

We do not warrant that products will meet your specific research needs or produce any particular results.

10. Limitation of Liability

To the maximum extent permitted by law, the Company and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages (including loss of profits, data, or research time) arising from your use of the Site or products, even if advised of the possibility of such damages.

Our total liability for any claim shall not exceed the amount you paid for the specific product giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the products; (b) your violation of these Terms or applicable law; (c) any prohibited use; or (d) your negligence or willful misconduct.

12. Assumption of Risk

You acknowledge the inherent hazards of handling research chemicals and assume all risks associated with storage, handling, use, transfer, and disposal of the products. You are solely responsible for proper laboratory safety practices and compliance with all applicable regulations.

13. Termination

We may suspend or terminate your access to the Site or cancel orders at any time for violation of these Terms or for any other reason at our discretion.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict of law principles.

Any dispute shall first be attempted to be resolved informally. If unresolved, disputes shall be resolved by binding arbitration in Woodward, Oklahoma under the rules of the American Arbitration Association (or equivalent), except that either party may seek injunctive relief in court for intellectual property or confidentiality breaches. Class actions are waived to the extent permitted by law.

15. Changes to Terms

We may update these Terms at any time. Continued use of the Site after changes constitutes acceptance. The “Last Updated” date will reflect the most recent revision.
